SAMMONS FINANCIAL GROUP

Unique Ownership

Unlike most financial companies, the Sammons Financial Group is not publicly traded. Its parent company – Sammons Enterprises, Inc. of Dallas, Texas – owns a variety of diversified businesses in addition to financial companies and is one of the nation’s largest privately held companies. (Ranked No. 46 in the “Largest Private Companies” listing, published in the November 25, 2002 issue of Forbes Magazine.) In addition, the Sammons Financial Group will ultimately become fully employee-owned.

This ownership translates into two main benefits for you:

1) Stability: Because of its unique ownership, the Sammons Financial Group is not as susceptible to market fluctuations as are publicly traded companies.

2) Better Service: Whenever you talk to someone at the Sammons Financial Group, you will most likely be talking to an employee-shareholder. As shareholders, employees have a stake in the company’s success, and they take your business seriously.

Distinguished Membership

The Sammons Financial Group is comprised of a number of companies that maintain their own distinct marketing focus yet share experience and services for optimal efficiency, strength, and growth:

§ Midland National, based in Sioux Falls, SD – a life insurance company in business since 1906, dedicated to independent producers and those they serve.

§ Sammons Securities Company, LLC, based in Ann Arbor, Michigan – a broker/dealer that offers all of the products and capabilities reps need for their business, plus additional support and opportunities.

§ The Sammons Annuity Group, based in Des Moines, Iowa – which offers a full range of fixed and variable annuities and has been one of the nation’s largest writers of Equity Indexed Annuities. (The Sammons Annuity Group is a division of Midland National Life Insurance Company. Annuity products are offered by the individual insurance companies, either Midland National or North American Company, by name.)

§ North American Company, based in Chicago, Illinois – a life insurance company that provides mortality-based products through multiple distribution systems.

§ North American Company of New York – our New York-based life insurance company working through Managing General Agents and financial institutions.

Strength

The Sammons Financial Group is a strong organization that has grown significantly over the past several years:

§ In 1995, the Sammons Financial Group had $76 million of earnings and just under $3 billion in assets. In 2002, only seven years later, the group finished with $172 million in earnings and nearly $15 billion in assets.

§ In 1995, the Group’s life insurance in force was at $62 billion. In 2002 the Group’s life insurance in force grew to over $211 billion representing nearly 1.2 million policyholders.

The Sammons Financial Group is not the biggest, but it is stable and strong, and it is one of the only financial groups in the process of becoming fully employee-owned.
